Ultimate Event Builder — Terms of Service
Effective date: September 10, 2025
These Terms of Service (the “Terms”) are a legal agreement between you (“Customer,” “you,” or “your”) and [Brand Accurate, LLC] (“Company,” “we,” “us,” or “our”) governing your use of the Ultimate Event Builder module/theme assets for HubSpot CMS (the “Module”).
By installing, copying, or using the Module, you agree to be bound by these Terms. If you do not agree, do not install or use the Module.
1. Definitions

“Module”: the Ultimate Event Builder HubSpot CMS module (and related theme files) distributed by Company, including compiled code, configuration, and documentation.

“Site”: any HubSpot-hosted website or page where you install or embed the Module.

“Content”: text, images, data (including CSV/XLSX), and other materials you upload, import, or display through the Module.

“Marketplace”: the HubSpot Asset Marketplace and its associated terms.
2. License & Use
2.1 Grant
Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to install and use the Module within your HubSpot account(s) to build and display event listings on your Sites.
2.2 Permitted Use
You may:

Install the Module on Sites owned or controlled by you or your clients (if you are an agency partner).

Modify styles and configuration for your implementation(s).

Create derivative work products (e.g., pages) using the Module.
2.3 Restrictions
You may not:

Resell, sublicense, redistribute, or list the Module (or substantially similar derivative) on any marketplace without our prior written consent.

Remove or alter copyright or license notices.

Use the Module in any way that violates applicable law, HubSpot’s terms, or third‑party rights.
3. Installation & Third‑Party Services
The Module runs client-side on HubSpot pages. It may reference third‑party resources to enable functionality (e.g., Google Fonts) and may optionally rely on open‑source libraries (see §10). Your use of HubSpot and any third‑party services is governed by their respective terms and privacy policies, which you are responsible for reviewing.
4. Your Content & Responsibilities
4.1 Rights & Permissions
You represent and warrant that you have all rights, licenses, and permissions to upload, import, or display Content through the Module, including rights to any images, logos, and text.
4.2 Data Quality & Compliance
You are solely responsible for the accuracy, legality, and appropriateness of Content. Do not upload sensitive or regulated personal data (e.g., health, financial, children’s data, or other special categories) unless you have a lawful basis and adequate safeguards.
4.3 CSV/XLSX Files
When using the bulk importer, you are responsible for:

Ensuring the file is properly formatted and publicly accessible if referenced by URL.

Ensuring the data does not infringe third‑party rights or violate privacy laws.

Ensuring the file does not contain malicious code.
4.4 No Storage
The Module does not permanently store Content or files on Company servers. Content is rendered client‑side within your Site. Storage and hosting are provided by HubSpot and/or your chosen file hosts.
5. Privacy
We do not collect or process personal data through the Module other than transient client‑side rendering required to display your Content. Any personal data you choose to display via the Module is processed within your HubSpot environment and/or your own file hosting. You are responsible for complying with applicable privacy laws (e.g., providing notices/consents and honoring data subject rights).
6. Support, Updates & Availability

Support: We may provide reasonable email support during business hours via [contact@brandaccurate.com] (or as otherwise indicated). Response times are not guaranteed unless a separate SLA is agreed.

Updates: We may release fixes or enhancements from time to time. Updates may change or remove features and may require you to update your Module installation.

Availability: The Module relies on HubSpot and third‑party networks. We do not guarantee uninterrupted availability.
7. Fees
Unless otherwise specified in a separate order or listing, the Module is provided without recurring fees. Paid add‑ons, customization, or priority support may be offered under separate terms.
8. Intellectual Property
The Module (excluding your Content and open‑source components) is owned by Company and protected by copyright and other intellectual property laws. No rights are granted except as expressly stated.
9. Prohibited Conduct
You agree not to:

Use the Module to upload illegal, harmful, infringing, or deceptive Content.

Reverse engineer, decompile, or attempt to extract source code except as permitted by law.

Circumvent technical restrictions or use the Module to build a competing product.
10. Open‑Source & Third‑Party Notices
The Module may incorporate or interoperate with open‑source libraries such as PapaParse and SheetJS/xlsx, each under its own license (e.g., MIT). You agree to comply with the applicable licenses. Fonts delivered via Google Fonts are provided by Google under their terms and privacy policy.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE MODULE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON‑INFRINGEMENT. YOU ASSUME ALL RISK FOR YOUR USE AND CONFIGURATION.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE MODULE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE MODULE SHALL NOT EXCEED THE AMOUNTS (IF ANY) PAID BY YOU TO COMPANY FOR THE MODULE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
13. Indemnification
You will defend, indemnify, and hold harmless Company and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your Content, your use of the Module, or your breach of these Terms.
14. Term & Termination
These Terms remain in effect while you use the Module. We may suspend or terminate your license at any time if you breach these Terms. Upon termination, you must remove the Module from your Sites.
15. Changes to the Terms
We may update these Terms from time to time. Material changes will be effective on the date posted or as otherwise stated. Continued use of the Module after the effective date constitutes acceptance of the revised Terms.
16. Governing Law & Venue
These Terms are governed by the laws of [State/Province], without regard to conflict‑of‑laws rules. The exclusive venue for disputes arising out of or relating to these Terms shall be the state or federal courts located in [City, State/Province], and you consent to personal jurisdiction there.
17. Marketplace & HubSpot Terms
Your use of the Module is subject to the HubSpot Marketplace Terms and HubSpot Terms of Service. In the event of conflict, those terms may control as between you and HubSpot. These Terms govern the relationship between you and Company.
18. Export Controls
You represent that you are not located in, under the control of, or a national or resident of any country or person prohibited by applicable export laws and regulations.
19. Entire Agreement; Severability
These Terms constitute the entire agreement between you and Company regarding the Module and supersede prior or contemporaneous agreements on the subject matter. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
